General Terms and Conditions (GTC)

1. Scope

These General Terms and Conditions (hereinafter “GTC”) govern the contractual relationship between Wistom (2026), Place de la Palud 5, 1003 Lausanne, Switzerland (hereinafter the “provider”) and its customers (hereinafter the “customer”) for all services relating to the chatbot service websitechatbot.ch. Deviating terms of the customer apply only if they have been expressly accepted in writing by the provider.

2. Services

The provider creates an AI-powered chatbot for the customer based on the publicly accessible contents of the customer's website. The services include:

  • Analysis and automated crawling of the customer's website
  • Configuration and training of the chatbot
  • Provision of an embeddable widget for the customer's website
  • Hosting and operation of the chatbot
  • Personal assistance with integration
  • E-mail support for operational questions

3. Conclusion of contract

The contract is concluded when the customer clicks “Activate chatbot” in the demo area, completes the order form (name, e-mail, website) and successfully completes the payment via the payment service provider Stripe. Upon successful payment, the chatbot is activated for the specified website and the customer receives a confirmation e-mail with installation instructions. The presentation of services on the provider's website does not constitute a legally binding offer but a non-binding invitation to order.

4. Prices and payment terms

Use of the chatbot service costs CHF 9.99 per month (plus statutory VAT). Set-up is free of charge.

Payment is made in advance by credit card or another payment method available via Stripe. The payment method registered by the customer upon activation is charged monthly in advance with the subscription price until the contract is terminated. Stripe sends the customer a receipt by e-mail after each charge. The customer can manage their subscription and payment details at any time via the Stripe customer portal (access via the link in the welcome e-mail).

The provider reserves the right to adjust prices with 30 days' notice. If the customer does not agree to a price adjustment, they may terminate the contract with effect from the date the adjustment takes effect.

5. Contract term and termination

The contract is concluded for an indefinite period and can be terminated by the customer at any time with effect from the end of the current billing month. Termination can be done either directly via the Stripe customer portal (link in the welcome e-mail) or informally by e-mail to info@websitechatbot.ch. The provider, for its part, may terminate the contract with 30 days' notice to the end of a month. Fees already paid are not refunded pro rata in the event of termination by the customer; the service remains usable until the end of the paid period. After termination of the contract, the chatbot is deactivated and the associated data is deleted within a reasonable period.

6. Customer duties to cooperate

The customer warrants that they are entitled to have the contents of their website crawled by the provider and used for operating the chatbot. The customer is solely responsible for the accuracy, completeness and lawfulness of the contents published on their website. They indemnify the provider against any third-party claims arising from a breach of these duties.

7. Nature of the service and disclaimer

The chatbot generates responses automatically using AI language models on the basis of the crawled website contents. The provider gives no warranty as to the accuracy, completeness or currency of the responses generated by the chatbot. The responses do not constitute binding information, advice or assurance from the customer or the provider. The customer is obliged to inform their end customers in a suitable manner about the automated nature of the service.

To the extent permitted by law, the provider is liable only for damages caused by intent or gross negligence. Liability for indirect damages, consequential damages, loss of profit, loss of data or third-party claims is excluded. The provider's total liability is in any event limited to the fees paid by the customer during the preceding twelve months.

8. Availability

The provider endeavours, to the best of its knowledge and ability, to ensure high availability of the service but does not guarantee uninterrupted availability. Maintenance work, outages of third-party providers (in particular hosting and AI providers) or force majeure may lead to temporary restrictions, without giving rise to any claims by the customer.

9. Data protection

The processing of personal data is governed by our privacy policy. It is the customer's responsibility to inform their own end customers about the use of the chatbot within their own privacy policy.

10. Terms of use and abuse

The customer undertakes not to use the service for unlawful, misleading or abusive purposes. In the event of reasonable suspicion of abuse (e.g. spam, excessive load, legal violations), the provider may temporarily restrict the service or terminate the contract extraordinarily.

11. Changes to the GTC

The provider reserves the right to amend these GTC at any time. Changes are communicated to the customer by e-mail and are deemed accepted if the customer does not object in writing within 30 days or continues to use the service after the changes take effect.

12. Applicable law and jurisdiction

This contract is subject exclusively to Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Lausanne.

13. Severability

Should individual provisions of these GTC be or become wholly or partly invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that most closely reflects the economic purpose of the invalid provision.
